1. INTRODUCTION

Welcome to Happy Levels, a personal productivity and habit tracking application developed by Nexlab, a company incorporated under the laws of the Republic of Panama.

By using Happy Levels ("App"), you agree to these Terms of Use ("Terms") and our Privacy Policy. If you don't agree, please don't use the App.

Platform Terms

Your use of the App is also subject to:

Age and Parental Consent

Happy Levels is suitable for all ages. If you're under 18, you must have parental or guardian permission to make purchases.

1A. iOS PLATFORM REQUIREMENTS

This section applies only to iOS users and contains additional terms required by Apple.

Acknowledgment

You and Nexlab acknowledge that these Terms are concluded between you and Nexlab only, and not with Apple, Inc. ("Apple"). Nexlab, not Apple, is solely responsible for the App and its content. These Terms may not conflict with the Apple Media Services Terms and Conditions.

License Scope

The license granted to you is limited to a non-transferable license to use the App on any Apple-branded products that you own or control, as permitted by the Usage Rules in the Apple Media Services Terms and Conditions. Family Sharing is not supported for this App.

Maintenance and Support

Nexlab is solely responsible for providing any maintenance and support services for the App, as specified in these Terms or as required under applicable law. You and Nexlab acknowledge that Apple has no obligation whatsoever to furnish any maintenance and support services with respect to the App.

Warranty

Nexlab is solely responsible for any product warranties, whether express or implied by law, to the extent not effectively disclaimed. In the event of any failure of the App to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price for the App to you. To the maximum extent permitted by applicable law, Apple will have no other warranty obligation whatsoever with respect to the App, and any other claims, losses, liabilities, damages, costs, or expenses attributable to any failure to conform to any warranty will be Nexlab's sole responsibility.

Product Claims

You and Nexlab acknowledge that Nexlab, not Apple, is responsible for addressing any claims you or any third party may have relating to the App or your possession and/or use of the App, including but not limited to:

  • Product liability claims

  • Any claim that the App fails to conform to any applicable legal or regulatory requirement

  • Claims arising under consumer protection, privacy, or similar legislation, including in connection with the App's use of the HealthKit and HomeKit frameworks (if applicable)

These Terms do not limit Nexlab's liability to you beyond what is permitted by applicable law.

Intellectual Property Claims

You and Nexlab acknowledge that, in the event of any third-party claim that the App or your possession and use of the App infringes that third party's intellectual property rights, Nexlab, not Apple, will be solely responsible for the investigation, defense, settlement, and discharge of any such intellectual property infringement claim.

Legal Compliance

You represent and warrant that:

  • You are not located in a country that is subject to a U.S. Government embargo, or that has been designated by the U.S. Government as a "terrorist supporting" country

  • You are not listed on any U.S. Government list of prohibited or restricted parties

Third-Party Terms of Agreement

You must comply with applicable third-party terms of agreement when using the App. For example, if the App uses voice or data services, you must not be in violation of your wireless data service agreement when using the App.

Third-Party Beneficiary

You and Nexlab acknowledge and agree that Apple, and Apple's subsidiaries, are third-party beneficiaries of these Terms, and that, upon your acceptance of these Terms, Apple will have the right (and will be deemed to have accepted the right) to enforce these Terms against you as a third-party beneficiary thereof.

2. FREE AND PREMIUM FEATURES

Free Features

  • Up to 10 level slots

  • Up to 10 categories

  • Default theme

  • Full widget access

  • Local notifications

Premium Features (Subscription or Lifetime Purchase)

  • Unlimited level slots

  • Unlimited categories

  • Access to all themes

  • All premium features unlocked

Device Requirements

  • iOS: iOS 18.0 or higher

  • Android: Android 12 (API 31) or higher

3. SUBSCRIPTIONS AND PAYMENTS

Subscription Terms

Yearly Subscription:

  • Auto-renews annually unless canceled

  • Charged within 24 hours before renewal

  • Cancel at least 24 hours before renewal to avoid charges

Lifetime Purchase:

  • One-time payment for permanent access

  • "Lifetime" means the lifetime of the App

Cancellation

  • iOS: Settings → [Your Name] → Subscriptions → Happy Levels → Cancel

  • Android: Play Store → Payments & subscriptions → Subscriptions → Happy Levels → Cancel

  • Canceling stops future charges but doesn't refund the current period

  • You keep premium access until the end of your paid period

Pricing Changes

  • We may change subscription prices with 30 days' notice

  • Changes apply to new subscriptions or renewals after notice

  • You can cancel before the change takes effect

Payment Processing

All payments are processed by Apple (iOS) or Google (Android). We don't handle your payment information. For refunds or payment disputes, contact Apple or Google directly:

Restore Purchases

Use the "Restore Purchases" button in the App to restore your premium access on new devices.

Purchase Validation

We maintain purchase validation records (transaction IDs, product IDs, purchase dates, expiration dates) for fraud prevention, customer support, and audit trail purposes. Records are kept indefinitely. Currently, this applies to Apple App Store purchases only.

4. YOUR DATA AND PRIVACY

Local-First Design

Happy Levels is built with privacy as a core principle:

  • All your data stays on your device

  • We don't collect, store, or access your level data

  • No analytics, tracking, or advertising

  • No server backups of your personal data

Your Responsibility

You're responsible for:

  • Backing up your data (via iCloud, Google Backup, or device backup)

  • Understanding that uninstalling the App deletes all local data

  • Maintaining adequate device storage

We cannot recover your data if you delete the App, lose your device, or perform a factory reset without backing up first.

5. ACCEPTABLE USE

What You Can Do

  • Track personal habits and goals

  • Customize themes and settings

  • Use widgets and notifications

  • Organize levels with categories

What You Cannot Do

  • Violate any laws

  • Attempt to hack or compromise the App

  • Circumvent free tier limits

  • Resell or redistribute the App

  • Use the App for commercial purposes without permission

6. INTELLECTUAL PROPERTY

Our Rights

Nexlab owns all rights to the App, including source code, design, graphics, logos, and functionality. "Happy Levels" and associated logos are our trademarks.

Your Content

You own all content you create in the App (level titles, emojis, etc.). Since this data stays on your device and we can't access it, you have complete control.

Feedback

If you provide feedback or suggestions, we may use them without compensation or attribution.

7. APP MODIFICATIONS

We reserve the right to:

  • Add, modify, or remove features

  • Update the App with improvements and bug fixes

  • Change pricing with notice

  • Discontinue the App (with 30 days' notice when possible)

We don't guarantee:

  • The App will always be available or error-free

  • All features will work perfectly at all times

  • Future updates will be provided indefinitely

8. DISCLAIMERS

Not Professional Advice

Happy Levels is a productivity tool, not medical, therapeutic, or professional advice. If you need professional help, consult qualified professionals.

"As-Is" Service

The App is provided "as is" and "as available." We don't guarantee perfect accuracy, availability, or compatibility with all devices and OS versions.

Third-Party Services

We're not responsible for:

  • App Store or Play Store availability

  • iCloud or Google Backup reliability

  • Operating system bugs

  • Device manufacturer issues

9. LIMITATION OF LIABILITY

To the maximum extent permitted by law:

  • We're not liable for indirect, incidental, or consequential damages

  • We're not liable for data loss, business interruption, or lost profits

  • Our total liability is limited to the greater of: (a) what you paid us in the last 12 months, or (b) $50

Some jurisdictions don't allow these limitations, so they may not apply to you.

10. TERMINATION

By You

Uninstall the App and cancel any active subscriptions anytime. No refunds for unused subscription time.

By Us

We may terminate your access if you violate these Terms or if we discontinue the App.

App Discontinuation

If we discontinue Happy Levels entirely, we'll provide 30 days' notice when possible. "Lifetime" purchases mean the lifetime of the App, not the purchaser.

11. GOVERNING LAW AND DISPUTES

The license to use the App is governed by Apple's Licensed Application End User License Agreement (iOS) or Google Play Terms of Service (Android).

These Terms (governing your use of the App's features and services) are governed by the laws of the Republic of Panama.

For disputes related to payments, refunds, or the App Store/Play Store, contact Apple Support (iOS) or Google Play Support (Android).

Before any legal action regarding these Terms, please contact us at support@nexlab.dev to resolve the issue informally.

12. CHANGES TO TERMS

We may update these Terms at any time. Material changes will be communicated through:

  • Updated "Last Updated" date

  • In-app notification (when feasible)

  • Our website

Continued use of the App after changes means you accept the updated Terms.

For material changes affecting paid features, we'll provide at least 30 days' notice and allow cancellation with pro-rated refunds when reasonable.

13. MISCELLANEOUS

Entire Agreement

These Terms, our Privacy Policy, and the applicable platform terms (Apple or Google) constitute the entire agreement.

Severability

If any provision is found invalid or unenforceable, the remaining provisions stay in effect.

No Waiver

Our failure to enforce any right doesn't waive that right.

Assignment

You can't transfer these Terms. We may assign them without restriction.

Language

The English version of these Terms governs in case of translation conflicts.
